Pursuant to the resolution of the Ordinary General Meeting held on July 23, 2026, the company’s purpose was amended effective July 28, 2026, as follows:
Old item: The purpose of the company, in France and in all countries, is:
- The management, operation, and administration of health centers, community health centers,
medical, paramedical, and medical-social centers; ;
- The provision of spaces, facilities, and services for
healthcare professionals, practitioners, paramedical staff, and related professions; ;
- Management of shared resources, including reception, the medical office, and the
IT and digital management, patient record management, maintenance, and
maintenance of facilities and equipment,
- The establishment and development of ancillary and complementary services in
Health-related topics: telemedicine, prevention, well-being, support
medical and social services, training for healthcare professionals; ;
- Conducting all studies, providing consulting services, assistance, and support
in the management and organization of health centers; ;
- The acquisition, leasing, rental, subleasing, management, and
the operation of all buildings, facilities, or equipment necessary for the business.
And, generally speaking, all commercial, industrial, or real estate transactions, or
financial activities that are directly or indirectly related to, or that may be useful for, this corporate purpose
or that are likely to facilitate its implementation.
The company may acquire any equity interests or other interests in any companies or businesses
whose business activities would be such as to facilitate the achievement of its corporate purpose.
It may act directly or indirectly, either on its own or through a partnership, joint venture,
consortium or company, together with any other individuals or companies, and carry out in any form
whether or not such transactions fall within the scope of its corporate purpose.
New item: The purpose of the company, in France and in all countries, is:
– The design, construction, acquisition, ownership, development, management, and operation of all real estate, infrastructure, and premises, including those intended for the practice of medical, dental, paramedical, and health-related activities, with such professions being practiced independently and under the sole responsibility of the practitioners and professionals to whom these premises are leased, as the company itself does not engage in any healthcare activities; ;
– The rental or provision, with or without related services, of spaces, facilities, technical platforms, and equipment for all healthcare professionals, including medical, dental, and paramedical practitioners, as well as dental technicians, orthopedic prosthetists, podo-orthotists, orthopedic orthotists, opticians, hearing aid specialists, laboratories, and all professions or activities related to or complementary to healthcare; ;
– The management and shared use of the site’s common resources, including reception, secretarial services, administrative management, IT and digital management, security, and the upkeep and maintenance of the premises and equipment; ;
– The provision of digital infrastructure, equipment, and tools that enable professionals working on the site to offer, under their sole professional responsibility, telemedicine, preventive care, and medical-social support services; ;
– The generation of energy from renewable sources at sites owned or leased by the company, its self-consumption, and the sale of any surplus; ;
– The acquisition, leasing, rental, subleasing, management, and operation of all real estate, land, premises, or equipment necessary or useful to the business, as well as the acceptance of all contributions in kind related thereto.
And, generally speaking, any commercial, industrial, securities, real estate, or financial transactions that are directly or indirectly related to the above purpose or that are likely to facilitate its achievement or development.
The company may acquire any equity interests or other interests, in any form whatsoever, in any companies or enterprises whose activities are likely to facilitate the achievement of its corporate purpose.
It may act directly or indirectly, either on its own or through an association, partnership, consortium, or corporation, in conjunction with any other individuals or corporations, and carry out, in any form whatsoever, the activities that fall within its corporate purpose.
Articles 2 and 8 of the bylaws have been amended accordingly. A note to that effect will be included in the RCS from FORT-DE-FRANCE.
